Welcome to Rosi Legal (collectively referred to as “Rosi Legal”, “we”, “us” or “our”). These Terms of Service (the "Terms") govern your use of our website and outline the general terms under which we provide our services. By engaging with our services or using our website, you agree to comply with and be bound by these Terms.
Please read these Terms carefully before engaging our services. If you do not agree with any part of these Terms, you must not use our services. Please note that these Terms do not, in themselves, create a binding legal agreement for the provision of services by Rosi Legal.
1. About Us
Rosi Legal is a limited company registered in England & Wales under company number 15168133. We provide unregulated legal support and advisory services. While we are not regulated by the Solicitors Regulation Authority (“SRA”) or the Bar Standards Board (“BSB”), our services are provided by individuals who have completed the Bar Vocational Studies (BVS) course and are committed to complying with the regulations and expectations of the BSB. 2. Scope of Services
Rosi Legal offers contract drafting and reviewing services, as well as other legal consultancy services for individuals, start-ups and small businesses. Specific services and deliverables are agreed upon in the Contract for Services and accompanying Statement of Work (SOW). Our services include:

We are not qualified barristers or solicitors, our work is based on our professional training and expertise. While we strive to provide accurate, professional and timely services, you acknowledge that our advice does not replace the formal legal advice provided by regulated solicitors or barristers.
Reserved Legal Activities, as defined by the Legal Services Act 2007, are expressly excluded from the scope of our services. You agree that any matters requiring representation or formal legal opinions will be referred to regulated professionals where necessary.
3. Engagement and Contractual Agreement
To engage Rosi Legal for services:

You must review and sign a Contract for Services that details the specific services, fees and other terms of engagement.

These Terms provide general information about our services but do not form a binding agreement for the delivery of services.
If you wish to discuss your requirements, you may contact us for a consultation. A free 30-minute consultation is available, subject to availability.
4. Fees and Payment
We offer fixed fees and hourly rates, which vary depending on the type and complexity of the services required. All pricing will be provided in a formal proposal before work begins. You will be required to accept the proposal, and sign a Contract for Services, before any work is undertaken.
Fees for our services are outlined in the Contract for Services and will depend on the scope of work. Payment terms are as follows:

One-off Services and Packages: Payment is required in full before services commence.

Retainers and Subscriptions: Payments are billed monthly on the anniversary of the start date, with a minimum subscription period of three (3) months.

Add-ons: Fees for additional services outside the agreed scope are charged separately and require prior written agreement. Payment is required in full before services commence.
Late payments may incur interest at the rate of 5% per month until payment is made in full. Failure to pay may result in your services being withheld until payment is made in full.
All payments are exclusive of VAT. Rosi Legal is not VAT registered and does not charge VAT.
5. Refunds
All fees are non-refundable, except in limited circumstances, as outlined in the Contract for Services. For bookings made online that are subsequently declined by Rosi legal, the Client will receive a full refund within 14 days of approval.
6. Client Obligations
Clients are responsible for:

Providing accurate and complete information required for the performance of services.

Reviewing all deliverables and promptly notifying Rosi Legal of any issues.

Implementing and executing decisions based on the deliverables or advice provided.
Failure to meet these obligations may impact the quality or timely delivery of our services. You acknowledge that the accuracy of the information you provide is your responsibility, and we will not be liable for any consequences arising from errors or omissions on your part.
7. Limitation of Liability
To the fullest extent permitted by law, Rosi Legal’s liability is limited as follows:

We do not guarantee specific outcomes or results from our services.

Our total liability under any agreement shall not exceed the total fees paid for the relevant services in the preceding 12 months.

We shall not be liable for indirect or consequential losses, including loss of profit, revenue, or anticipated savings.

We shall not be liable for any delay or failure to perform our obligations under these Terms or any Contract for Services due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, government restrictions, or illness. In such cases, timelines may be adjusted, or services may be rescheduled in consultation with the Client.

8. Professional Indemnity
Although Rosi Legal is not regulated by the SRA or BSB, the services we provide are carried out with due care and professionalism in accordance with BSB standards. We hold professional indemnity insurance to cover any claims arising from errors or omissions in the services we provide. Please contact us if you require further information on the scope of our insurance cover.
9. Confidentiality and Data Protection
We are committed to maintaining the confidentiality of client information and complying with applicable data protection laws, including the UK GDPR and the Data Protection Act 2018. 10. Intellectual Property
All documents, drafts and other materials created by Rosi Legal during the provision of services remain the intellectual property of Rosi Legal, unless expressly assigned in the Contract for Services. The Client receives a non-exclusive licence to use the deliverables for the purposes outlined in the agreement.
Clients agree to use to any documents, templates, guidance or other work produced by us (the “Deliverables”) only for the purposes specified in the Contract for Services. The Deliverables may not be reproduced, distributed or used for any unlawful purpose without our prior written consent.
11. Termination
The terms for termination are outlined in the Contract for Services and include:

Termination by either party with prior written notice.

Immediate termination for material breach of the agreement.
Upon termination, you agree to pay for all services rendered up to the point of termination.
12. Complaints Procedure
If you have any complaints about the services provided by Rosi Legal, you can contact us in writing at info@rosi-legal.co.uk. We will investigate your complaint and aim to resolve it as soon as possible. If we are unable to resolve your complaint, you may be able to escalate it to a suitable authority or ombudsman.
13. Changes to These Terms
Rosi Legal reserves the right to update or modify these Terms at any time. Any changes will be posted on our website, and you will be notified via email if the changes are significant. Continued use of our services after any such modifications will constitute your acknowledgment and acceptance of the new Terms.
14. Governing Law
These Terms and any engagement with Rosi Legal shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
